No-Cash is NOT a bank, deposit-taker, trustee, escrow provider, payroll provider, employer, labour broker, insurer, guarantor, or fiduciary. Transactions can be delayed, reversed, or disputed. Holds, reserves, and risk controls may apply.

1. Scope
These Terms of Service (“Terms”) govern your access to and use of the No-Cash platform, including the website at www.nocashpay.co.za, all dashboards, QR pages, payment pages, reporting tools, onboarding flows, and support channels (collectively, the “Platform”), operated by NoCash Payments (Pty) Ltd (“No-Cash”, “we”, “us”, “our”).
These Terms apply to:
- website visitors and QR code scanners;
- customers and payers who initiate transactions through the Platform;
- self-registered Individual Recipients who create a No-Cash profile;
- Entities with dashboards or public-facing QR and payment pages.
2. Key Definitions

| Settlement | The transfer or making-available of net funds to a Recipient or Entity after fees, holds, reserves, reversals, set-off, and deductions |
3. Acceptance and Electronic Contracting
By visiting the Platform, scanning a No-Cash QR code, initiating a transaction, creating an account, or using any part of the Platform, you agree to be bound by these Terms.
Entities and Individual Recipients are subject to additional click-wrap agreements presented during onboarding and sign-up. Where a specific click-wrap agreement conflicts with these Terms, the click-wrap agreement takes precedence for that specific matter.
If you do not agree to these Terms, you must not use the Platform.
4. How No-Cash Works
No-Cash enables cashless tipping by providing QR code payment pages that allow customers to tip frontline workers online — no app download required.
- Customers / Payers scan a QR code or visit a payment page and complete a payment via supported payment rails.
- Recipients view transaction activity and reporting via their No-Cash dashboard.
- Entities manage recipients, deploy QR codes, and access reporting tools via the Entity Dashboard.
No-Cash facilitates payment flows through Payment Partners and applies risk controls including identity verification, payout thresholds, holds, reserves, and manual review where required.
5. User Responsibilities
Customers / Payers must:
- use only payment methods they are authorised to use;
- understand who they are tipping before initiating a transaction.
Recipients must:
- be entitled to receive tips at their workplace or venue;
- keep their login details, QR materials, and account credentials secure.
Entities must:
- hold the necessary workplace or site permissions to deploy QR codes and onboard recipients;
- communicate clearly with staff about tipping arrangements, pooled-tip rules, and internal policies;
- ensure the accuracy and lawfulness of all information submitted to No-Cash;
- comply with applicable labour, tax, and data protection laws in relation to their recipients and staff.
6. Payments, Fees, and Settlement

Fees are indicative and may be updated. The applicable fees at the time of a transaction will be as displayed on the Platform or in your click-wrap agreement.
Holds and Reserves
No-Cash may delay settlement, impose holds, limit payouts, or require additional verification for:
- fraud risk or suspected unusual activity;
- disputes, chargebacks, or competing entitlements;
- verification gaps or incomplete onboarding;
- legal, partner, or regulatory requirements.
7. Disputes, Chargebacks, Refunds, Reversals, and Negative Balances
Transactions may be disputed by banks, card schemes, or Payment Partners. If a transaction is charged back, refunded, reversed, rejected, or found to be fraudulent, No-Cash may recover funds via set-off, deduction, reserve application, or deductions from future settlement amounts.
Entities and Recipients acknowledge that their accounts may reflect negative balances in such circumstances and must settle any negative balance within the timeframe communicated by No-Cash. No-Cash reserves the right to suspend access or withhold future settlements until a negative balance is resolved.
8. Prohibited and Restricted Use
You must not use the Platform for:
- any unlawful activity or purpose;
- money laundering, sanctions evasion, or financing of prohibited activities;
- fraud, card testing, or sham transactions;
- impersonation, phishing, or misleading conduct;
- harassment, abuse, or reputational harm to No-Cash or any third party;
- any activity that violates applicable law or these Terms.
No-Cash may suspend, restrict, or terminate access immediately upon detection of prohibited use without notice.
9. Privacy and POPIA
No-Cash processes personal information in accordance with South African law, including the Protection of Personal Information Act, 2013 (POPIA). Our Privacy Notice explains how we collect, use, share, and retain personal information, and describes your rights as a data subject.
Where lawful, No-Cash may create and use de-identified and derived analytics to improve services, detect fraud, build reporting tools, and support financial inclusion. Personal information is not sold in disregard of POPIA.

10. Intellectual Property and Platform Access
The Platform, including its software, website, workflows, dashboards, QR presentation systems, content, and related intellectual property, belongs to No-Cash or its licensors.
No-Cash grants you a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose while you comply with these Terms. You must not:
- reverse engineer, scrape, frame, or otherwise extract content or functionality from the Platform;
- resell, white-label, or sublicense access to the Platform;
- interfere with or disrupt the Platform's operation.
11. Third-Party Services and Links
The Platform may link to third-party websites or rely on third-party services, including Payment Partners. No-Cash is not responsible for third-party content, availability, or practices. Third-party rules may affect transaction authorisation, settlement timing, and reversals.
12. Disclaimers
No-Cash does not provide, sell, supervise, or warrant the underlying goods or services tipped for through the Platform. The underlying relationship is between the payer and the Recipient or Entity.
No-Cash does not guarantee:
- that any transaction will be authorised, received, or finally settled;
- freedom from disputes, chargebacks, fraud, errors, or delays;
- uninterrupted availability of the Platform or Payment Partner services.
13. Limitation of Liability and Indemnities
To the maximum extent permitted by applicable law, No-Cash is not liable for indirect or consequential loss arising from Platform use, including loss of profit, revenue, business opportunity, or reputational harm resulting from disputes, chargebacks, Payment Partner downtime, customer behaviour, site restrictions, or lawful risk controls.
Entities and Recipients indemnify No-Cash and its Payment Partners against third-party claims arising from:
- their own goods, services, or workplace arrangements;
- staff practices, data disclosures, or non-compliance with internal policies;
- breach of these Terms or any applicable click-wrap agreement.
14. Suspension, Termination, and Business Transfers
No-Cash may suspend, restrict, block, de-link, hide, or terminate access to the Platform for:
- fraud, abuse, or breach of these Terms;
- regulatory, payment, or reputational risk;
- non-cooperation with verification or compliance requests;
- negative balances or competing claims;
- site-permission issues or Payment Partner non-compliance.
No-Cash may transfer or assign its rights and obligations under these Terms as part of a merger, acquisition, restructuring, financing, or sale of business, provided that such transfer does not materially prejudice your rights.
15. Governing Law and Dispute Resolution
These Terms are governed by South African law. No-Cash may approach a competent court for urgent or interim relief at any time.
Where a click-wrap agreement contains a specific dispute resolution clause, that clause governs disputes for matters covered by the click-wrap agreement. For all other matters, disputes will be resolved in accordance with applicable South African law.
16. Changes to These Terms
No-Cash may update these Terms from time to time. The updated version will be published on the Platform with a revised “Last updated” date. Continued use of the Platform after publication of updated Terms constitutes acceptance of the revised Terms.
